Primary Responsibility: This position will be responsible for negotiating, drafting, and reviewing affiliate sales and marketing agreements with distributors of the programming networks. The incumbent in this position works with the affiliate sales staff to facilitate the distribution of the Starz and Encore programming networks by cable television, satellite, telephone company, and internet distributors.
Essential Duties and Responsibilities:
Negotiate, draft, and review affiliation agreements for the distribution of cable programming networks by cable television, satellite, telephone company and other distributors, on all media platforms.
Negotiate, draft, and review marketing agreements with distributors for promotion and sales of programming networks to consumers.
Supervise legal aspects of all relationships between cable programming networks and cable television, satellite, and telephone company distributors, including payment, bankruptcy, collection, and compliance issues.
Negotiate, draft and review agreements with technology companies such as satellite transponder providers, equipment suppliers, and signal transport companies.
Provide counsel related to the advertising, marketing and promotions functions of the business, including contests and sweepstakes.
Provide counsel related to federal regulatory issues relating to the business, including closed captioning, children’s television, program access, retransmission consent and other public policy matters.
Responsible for synthesizing complex transactional matters into deal memos and agreements.
Responsible for maintaining high level of visibility and credibility across business units and entities within Starz Entertainment and the industry as a whole.
Act as consultant and coach on a variety of legal matters.
Supervise real estate and other matters related to regional company sales offices.
Supervise bankruptcy and litigation matters related to production and other complex legal projects.
Education, Knowledge, and Experience:
· Juris Doctorate Degree with strong academic credentials from an ABA-accredited law school and CO Bar admission; Minimum three to five years experience in Business & Legal Affairs or hands-on experience at one or more reputable law firms, networks, studios and/or media companies handling distribution of cable programming networks and related transactions; Extensive knowledge of corporate transactions; Experience negotiating deals in network and /or cable television is strongly preferred.
· Proven ability to conduct face-to-face negotiations with other companies and their counsel.
· Demonstrated superior knowledge of entertainment industry practices as well as established relationships with cable television, satellite, and telephone company distributors, and business & legal executives at major distributors.
· Experience reviewing and approving marketing agreements.
· Ability to work closely with sales staff in designing and negotiating long term affiliation deals.
· Superior project management abilities to successfully manage multiple projects against tight deadlines in a volatile environment.
· Proven ability to provide specific direction, training and development of support staff.
· Highly motivated, extremely detail-oriented, organized, and able to work independently.
· Have strong organizational, follow-through, interpersonal, written and verbal communication skills.
